PRECURSIVE AI SOFTWARE EVALUATION & AI TRIAL AGREEMENT.

This Evaluation Agreement ("Agreement") is entered into by and entered into by and between the applicable Precursive entity determined by Section 8 ('Precursive') and the evaluating company ('Customer').

1. Purpose and License Grant

Precursive grants the Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Precursive software package, including its associated Artificial Intelligence features ("the Software"), solely for internal evaluation and testing purposes within the Customer's designated Salesforce environment.

2. Intellectual Property & Restrictions

Precursive retains all rights, title, and interest (including all intellectual property rights) in and to the Software. Customer shall not: (a) reverse engineer, decompile, or disassemble the Software; (b) copy, modify, or create derivative works; or (c) share access, benchmarking results, or performance metrics of the Software with any third-party competitors.

3. AI Features, Data Processing & Privacy

3.1. Data Processing. Any Personal Data processed during the Evaluation Period shall be governed by the Precursive Data Processing Addendum, which is incorporated herein by reference.

3.2. AI Model Training. Precursive warrants that any Customer Data processed through third-party LLM providers during the evaluation is not used to train, improve, or fine-tune those providers' models.

3.3. Usage Limits. Customer’s use of the AI features is subject to the Product Usage Terms. Precursive reserves the right to limit AI consumption during the Evaluation Period to prevent excessive third-party compute costs.

4. Service Dependencies

Customer acknowledges that the Software requires an active, functional Salesforce environment. Precursive is not responsible for issues arising from Salesforce downtime, degradation, or misconfiguration. Furthermore, the AI features depend on thirdparty LLM providers; Precursive shall not be liable for any delay, unavailability, or degradation of such third-party services.

5. Term and Termination

This Agreement is effective upon the Customer's installation or first use of the Software and shall remain in effect for a period of thirty (30) days (the "Evaluation Period"), unless terminated earlier. Precursive reserves the right to terminate this Agreement and revoke access to the Software at any time, for any reason, without notice.

6. Disclaimer of Warranties

THE SOFTWARE AND ANY AI-GENERATED OUTPUTS ARE PROVIDED EXCLUSIVELY ON AN "AS-IS" AND "AS AVAILABLE" BASIS. PRECURSIVE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY CONTAIN INACCURACIES OR BIASES, AND CUSTOMER IS RESPONSIBLE FOR VALIDATING ANY OUTPUTS BEFORE USING THEM. PRECURSIVE PROVIDES NO SERVICE LEVEL AGREEMENT (SLA) OR TECHNICAL SUPPORT GUARANTEES DURING THE EVALUATION PERIOD. REGARDLESS OF ANY CONFIGURATION OR SETUP ASSISTANCE PROVIDED BY PRECURSIVE, CUSTOMER REMAINS SOLELY RESPONSIBLE FOR EVALUATING THE ACCURACY AND LEGALITY OF ANY AI-GENERATED OUTPUT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, CORRUPTION OF SANDBOX ENVIRONMENTS, OR BUSINESS INTERRUPTION. PRECURSIVE’S TOTAL AGGREGATE LIABILITY UNDER THIS EVALUATION AGREEMENT SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
